Chief legal counsel to AOL’s mobile business unit. Led business development teams in its worldwide growth of AOL wireless market share. Led first comprehensive program for the safe management and use of Open Source Software throughout the AOL properties. • Created AOL’s first contract templates for wireless business, streamlining operations and reducing the time to contract by twenty-five percent.
• Led the negotiation team to establish relationships between AOL and the eight dominant India wireless carriers in support of the opening of the AOL India portal.
• Managed bankruptcy liquidation of AOL’s mobile service partner to preserve AOL’s claim for lost funds, and to secure ownership of intellectual property (computer source code) following bankruptcy hearings.

Directed worldwide supply chain process for global acquisition of wireless software applications and key telecommunications and wireless hardware components used worldwide in Motorola cellular handsets and cellular networks. Developed strategy for both global and regional acquisition of vendor intellectual property. Established and led the first Networks Open Source Software Policy Board to prevent compromise of Motorola proprietary assets through inappropriate or naïve use of Open Source Software. Led cross-functional acquisition teams for new technology.
• Rescued a Motorola proprietary software asset from release into the Open Source Software community, which preserved a revenue stream from licensing of that software and preserved Motorola’s $1.5M investment in creating the software.
• Directed global intellectual property licensing and negotiations for software and content. Documented and drafted the resulting agreements and licenses, including tailoring agreements to comply with local law. Developed strategy to meet internal and external customer needs and to provide cost-effective solutions for carriers. Identified electronic solutions to digital right management implementation across technologies.
• Authored key provisions of Motorola’s business recovery plan as part of Motorola’s Crisis Management Team.
Senior Counsel & Director, Worldwide Commercial and Government Contracts 1999-2003

Led the worldwide contracting process for sale and licensing of NT’s products and services to In-Vehicle, Internet, Wireless, Telecommunications, Fleet, GIS, Government and End User customers. Evaluated new technology for acquisition by the company. Drafted, negotiated and closed contracts for acquisition of key technology for NT. Developed corporate strategy for addressing new sales opportunities.
• Developed and implemented NT's compliance program under the United States export and technology transfer laws, allowing NT to win business in the lucrative US Government sector. Also created NT’s first compliance programs for antitrust issues and instructed NT senior management and employees on the relationship between NT pricing and the antitrust laws, reducing the possibility of scrutiny by the Department of Justice or the Federal Trade Commission.
• Drafted and negotiated contracts resulting in more than $100 million annually in global sales, purchases and licenses of NT products to many Fortune 500 companies.

Established the Business Operations unit within the service and support organization as the foundation for the explosive growth of service revenue within Cisco, and hired and trained its staff. Managed the integration of technology into the Customer Advocacy organization from companies acquired by Cisco.
• Reduced the “quote to close” time for completing a contract with a customer more than seventy-five percent in the first year, enhancing customer satisfaction and customer revenue.
• Successfully drafted, negotiated and closed the first Customer Advocacy organization’s call-center outsourcing contract, saving the company in excess of $10 million in the first year.

Managed the contractual relationship with Sun’s distributors, OEMs, licensees and end users for the Western United States and for Western Europe; and for the Networking Business Unit. • Developed the first Contracts Playbook for Sun that explained the legal terms commonly used in contracts and their rationale.
