• Developed “Voice Records” procedure with senior legal and business officers, to ensure that commodity trading practice complies with relevant federal and state laws to streamline deal-execution procedures to accommodate the needs of both customers and portfolio manager while protecting against potential contract formation issues.
• Proposed and implemented a “Master Agreement” concept to accurately reflect the functional process by which the company develops its business relationships with potential customers. This bifurcated approach provides flexibility by enabling customers and the company to “agree to agree” on terms and conditions without having to discuss specific prices and volumes.
Negotiated, processed, and managed several hundred contracts to protect company assets and to achieve mutually beneficial language where boilerplate contract does not meet specific needs. Managed electricity contracts in a new environment, under strict deadlines. Each contract represented a minimum of $1MM in revenue, with the average value being considerably higher, and included customers such as Hewlett-Packard/Compaq, IBM, Caterpillar, General Electric, Nestle, Intuit, Johnson & Johnson, Hershey’s, General Motors, and many other Fortune 500 companies.
Assisted in-house personnel in structuring portions of deals and determine how their decisions impact other departments to prevent interdepartmental conflicts.
Prepared partially executed contracts for full execution by working with Sales, Legal, customers and other parties to ensure that our company only signed good, clean contracts.
Prepared internal and external legal, business and analytical Writings styled for both balanced, objective purposes as well as for persuasion (samples available upon request):
